Welcome to MemorDesk. These Terms of Service ("Terms") govern your access to and use of the MemorDesk website, mobile applications, and AI meeting assistant services (collectively, the "Services") provided by MemorDesk ("Company," "we," "our," or "us").
By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our Services.
1. Acceptance of Terms
By creating an account or using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
MemorDesk provides an AI-powered meeting assistant that:
- Joins your virtual meetings as a participant (with your authorization)
- Records and transcribes meeting audio and video
- Generates summaries, action items, and decisions using AI
- Provides AI assistants for meeting-related queries
- Integrates with your calendar and communication tools
3. Account Registration
To use certain features of the Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
4. User Responsibilities
You are responsible for:
- Meeting Consent: Obtaining consent from all meeting participants before using MemorDesk to record or transcribe meetings, as required by applicable laws.
- Content Compliance: Ensuring that any content you create, upload, or share through the Services does not violate any laws or third-party rights.
- Acceptable Use: Using the Services only for lawful purposes and in accordance with these Terms.
5. Prohibited Conduct
You agree NOT to:
- Use the Services to record meetings without proper consent
- Violate any applicable laws, regulations, or third-party rights
- Transmit any malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or attempt to extract source code from the Services
- Use the Services to harass, abuse, or harm others
- Resell or redistribute the Services without authorization
6. Subscription & Payment
6.1 Free Tier
We offer a free tier with limited features. Free accounts are subject to usage limits as described on our pricing page.
6.2 Paid Subscriptions
Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method at the applicable rate.
6.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
6.4 Price Changes
We reserve the right to modify pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.
7. Intellectual Property
7.1 Our Intellectual Property
The Services, including all content, features, and functionality, are owned by MemorDesk and are protected by copyright, trademark, and other intellectual property laws.
7.2 Your Content
You retain all rights to your meeting recordings, transcripts, and other content you create or upload. By using the Services, you grant us a limited license to process your content solely to provide the Services.
You own your data. We do not claim any ownership rights over your meeting content.
8. Data Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Third-Party Integrations
9.1 Slack Integration
MemorDesk offers an optional Slack integration that allows you to receive meeting summaries, action items, and notifications directly in your Slack workspace. By connecting your Slack workspace, you authorize MemorDesk to:
- Post messages to Slack channels and direct messages on your behalf
- Read the names and IDs of channels and workspace members to enable delivery configuration
- Store a Slack bot access token to maintain the integration
You may disconnect the Slack integration at any time from your account settings, which will immediately revoke MemorDesk's access and delete the stored token. MemorDesk does not read or store any existing Slack message history from your workspace.
9.2 No Affiliation with Slack
MemorDesk is an independent application and is not affiliated with, endorsed by, or sponsored by Slack Technologies, LLC. Your use of Slack is governed by Slack's own Terms of Service and Privacy Policy. MemorDesk is not responsible for any changes to Slack's platform, API availability, or pricing that may affect the integration.
9.3 Other Third-Party Services
MemorDesk integrates with other third-party services including Google Calendar, Zoom, and payment processors. Your use of those services is subject to their respective terms. We are not responsible for the availability, accuracy, or conduct of any third-party service.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- The Services will be uninterrupted, error-free, or secure
- Any defects will be corrected
- AI-generated content will be accurate, complete, or reliable
- The Services will meet your specific requirements
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.
Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless MemorDesk, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
13. Termination
We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. You may delete your account at any time from your account settings.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MemorDesk operates, without regard to its conflict of law provisions.
